Terms of Service

By accessing or using TradeRated's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These Terms constitute a legally binding agreement between you (either an individual or entity) and TradeRated. Your continued use of the service constitutes acceptance of these terms and any future modifications.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the platform. Your continued use after such changes constitutes acceptance of the new Terms.

TradeRated provides a comprehensive review management and referral tracking platform designed specifically for trade businesses. Our services include:

• Automated review request and collection across multiple platforms (Google, Yelp, Facebook, Angi)
• Technician performance tracking and gamification features including leaderboards and spiff management
• Customer referral tracking and automated payout management
• AI-powered review response automation and sentiment analysis
• CRM integrations with ServiceTitan, Jobber, Housecall Pro, ServiceM8, FieldEdge, and Google My Business
• Real-time dashboards with ROI metrics and performance analytics
• Custom widgets, branded dashboards, and team performance insights

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the service.

To use TradeRated, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Eligibility Requirements:

• You must be at least 18 years old and have the legal capacity to enter into contracts
• You must represent a legitimate trade business with proper licensing and insurance
• You must not be located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
• You must not be on any U.S. government list of prohibited or restricted parties

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, particularly if we suspect fraudulent activity or violation of these Terms.

As a user of TradeRated, you agree to:

• Provide accurate and truthful information about your business and services
• Comply with all applicable laws, including consumer protection and privacy laws
• Obtain proper consent from customers before requesting reviews or collecting their information
• Not manipulate, incentivize, or coerce customers into leaving positive reviews
• Not post fake, fraudulent, or misleading reviews
• Respect the intellectual property rights of others
• Maintain the security and confidentiality of your account credentials
• Use the service only for lawful business purposes
• Not attempt to reverse engineer, decompile, or hack the platform
• Not use automated systems or bots to access the service without authorization

You are solely responsible for your conduct and any data, text, information, or content that you submit through the service. We reserve the right to investigate and take appropriate action against anyone who violates these responsibilities.

TradeRated offers subscription-based pricing with monthly and annual billing options. By subscribing, you agree to pay all fees associated with your chosen plan.

Pricing Structure:

• Monthly Plan: $249/month with 50 included review credits
• Yearly Plan: $249/year with $2-$5 per review credit pricing
• Premium Plan: $499/month covering up to 15 technicians with 150 included review credits
• Overage credits are billed at $4 → $3 → $2 per review depending on volume

Payment Terms:

• All fees are in U.S. Dollars and are non-refundable except as required by law
• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your payment method on file for all applicable fees
• If payment fails, we may suspend or terminate your access to the service
• You are responsible for all taxes associated with your use of the service
• Price changes will be communicated at least 30 days in advance

We use third-party payment processors (Stripe) to handle billing. Your payment information is subject to their terms and privacy policies.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team.

Cancellation Terms:

• Cancellations take effect at the end of the current billing period
• You will retain access to the service until the end of your paid period
• No refunds are provided for partial months or unused review credits
• Upon cancellation, your data will be retained for 90 days before permanent deletion
• You may export your data before cancellation through the dashboard

Free Trial:

We offer a 14-day free trial for new customers. If you do not cancel before the trial ends, you will be automatically charged for your selected plan. No credit card is required to start the trial.

TradeRated integrates with various third-party services and CRM platforms to enhance functionality. By using these integrations, you acknowledge and agree that:

• You are responsible for maintaining valid accounts with third-party services (ServiceTitan, Jobber, Housecall Pro, etc.)
• Third-party services are subject to their own terms and privacy policies
• We are not responsible for the availability, accuracy, or functionality of third-party services
• Integration failures or data sync issues with third-party services are outside our control
• You grant us permission to access and sync data from your connected CRM accounts
• We may share necessary data with third-party services to enable integrations

Supported integrations include: ServiceTitan, Jobber, Housecall Pro, ServiceM8, FieldEdge, Google My Business, Google Reviews, Yelp, Facebook, and Angi. Additional integrations may be added or removed at our discretion.

The TradeRated platform, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, is owned by TradeRated and is protected by United States and international copyright, trademark, and other intellectual property laws.

Your License:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your business purposes in accordance with these Terms. This license does not include any right to:

• Resell, redistribute, or sublicense the service
• Copy, modify, or create derivative works of the platform
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices or labels
• Use the service to build a competing product or service

All rights not expressly granted to you are reserved by TradeRated. Unauthorized use of our intellectual property may result in termination of your account and legal action.

You retain ownership of all content, data, and information you submit through the service, including customer information, review requests, and business data ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the service.

Your Responsibilities:

• You are solely responsible for the accuracy and legality of your User Content
• You must have all necessary rights and permissions to submit User Content
• You must obtain proper consent from customers before collecting their information
• You must comply with all applicable review platform policies (Google, Yelp, etc.)
• You must not submit content that is illegal, fraudulent, defamatory, or violates third-party rights

We reserve the right to remove or refuse to display any User Content that violates these Terms or applicable laws. We are not responsible for monitoring or moderating User Content but may do so at our discretion.

You agree not to use the service for any of the following prohibited purposes:

• Posting fake, fraudulent, or misleading reviews
• Incentivizing or coercing customers to leave positive reviews
• Removing or suppressing negative reviews through improper means
• Violating any applicable laws, regulations, or third-party rights
• Transmitting spam, unsolicited messages, or marketing materials
• Uploading viruses, malware, or other malicious code
• Attempting to gain unauthorized access to the platform or other users' accounts
• Interfering with or disrupting the service or servers
• Using automated systems or bots without authorization
• Scraping, harvesting, or collecting data from the platform
• Impersonating another person or entity
• Engaging in any fraudulent or deceptive practices
• Using the service to compete with TradeRated or build a similar product

Violation of these prohibited uses may result in immediate termination of your account and legal action. We reserve the right to investigate and prosecute violations to the fullest extent of the law.

We reserve the right to suspend or terminate your account and access to the service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of the platform or other users
• Posting fake or manipulated reviews
• Repeated customer complaints or violations of review platform policies

Effect of Termination:

• Your right to access and use the service will immediately cease
• You will no longer have access to your account or data
• We may delete your data after 90 days unless required by law to retain it
• You remain liable for all fees incurred prior to termination
• Provisions that by their nature should survive termination will continue to apply

You may terminate your account at any time by canceling your subscription. Upon termination, you should export any data you wish to retain.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, TradeRated disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content or data
• Warranties that defects will be corrected or that the service is free of viruses

We do not warrant that the service will meet your requirements or that it will generate any specific number of reviews, referrals, or revenue. Results may vary based on your business, industry, and usage of the platform.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

TO THE FULLEST EXTENT PERMITTED BY LAW, TRADERATED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

In no event shall TradeRated's total liability to you for all damages, losses, and causes of action exceed the amount you paid to TradeRated in the twelve (12) months preceding the claim, or $100, whichever is greater.

This limitation applies to claims based on:

• Breach of contract, warranty, or terms of service
• Negligence, strict liability, or other tort
• Any other legal theory
• Service interruptions, data loss, or security breaches
• Third-party integrations or services
• User content or reviews posted through the platform

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless TradeRated, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the service
• Your violation of these Terms of Service
• Your violation of any rights of another party, including intellectual property rights
• Your User Content or any content you submit through the service
• Your violation of any applicable laws or regulations
• Your fraudulent or illegal activities
• Claims by your customers or third parties related to your use of the service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects TradeRated without our prior written consent.

Informal Resolution:

Before filing a claim, you agree to contact us at legal@traderated.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration:

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the service will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

• Arbitration will be conducted in [Your State/Location]
• The arbitrator's decision will be final and binding
• Each party will bear its own costs and attorneys' fees
• You waive your right to a jury trial or to participate in a class action

Exceptions:

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or confidential information.

Governing Law:

These Terms are governed by the laws of [Your State], United States, without regard to conflict of law principles.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the platform at least 30 days before the changes take effect.

Your continued use of the service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and cancel your account.
